Terms of service

The agreement between you and Jadenex governing use of the exchange, your account, orders, funding and the limits of the service.

1. Scope and acceptance

These terms form the agreement between you and Jadenex and govern your access to and use of the Jadenex website, the Jadenex mobile application and the Jadenex exchange. By opening an account or using the service you accept these terms. If you do not accept them you must not use the service.

Additional terms apply to specific products. The card terms apply to the Jadenex Card. The staking and earn terms apply to staking and earn products. Where an additional term conflicts with these terms, the additional term prevails for that product only.

2. Eligibility

An account may be opened only by a natural person aged eighteen or over who is resident in a jurisdiction Jadenex serves and who is acting on their own behalf.

You may not open or operate an account if you are subject to sanctions, if you are resident in a sanctioned jurisdiction, or if you are acting for the benefit of a person in either position. Accounts identified as falling within this paragraph are blocked and the matter is reported where reporting is required.

Each person may hold one account. Where duplicate accounts are identified they are closed and balances are returned to the verified account.

3. Account opening and verification

You must provide accurate and complete information when opening an account and must keep that information current. Jadenex verifies your identity before the account is funded and may repeat verification at any time.

Jadenex may refuse an application, suspend an account or close an account where verification cannot be completed, where information provided is inaccurate, where continued service would breach a legal or regulatory obligation, or where the account is used in a manner these terms prohibit.

You are responsible for maintaining the confidentiality of your credentials and authentication factors and for all activity conducted through your account. Notify Jadenex immediately if you suspect unauthorised access.

4. Nature of the service

Jadenex operates an execution only spot exchange. Jadenex does not provide investment advice, portfolio management, tax advice or legal advice, and nothing published by Jadenex is a recommendation to acquire, hold or dispose of any asset.

Jadenex does not offer derivatives, margin trading or leverage. Orders are settled in full from balances held in your account at the time the order is accepted.

Market data published by Jadenex is provided for information. It may be delayed or interrupted. The price at which an order executes is determined by the order book at the time of matching.

5. Orders and execution

Orders are matched on a central limit order book on a price and time priority basis as set out in the trading rules. Limit orders and market orders are supported.

An order is accepted when it is recorded on the order book. Acceptance does not guarantee execution. An unmatched limit order rests on the book until it is matched, cancelled or invalidated by a market halt.

A market order executes against resting orders at successively less favourable prices where the size of the order exceeds the quantity available at the best price. The final average price may differ from the last traded price displayed.

An executed trade is final. Jadenex may cancel or adjust a trade only in the circumstances set out in the error trade provisions of the trading rules.

6. Fees

Fees are charged in accordance with the fee schedule published on the website. The schedule in force at the time an order executes or an instruction is accepted is the schedule that applies.

Jadenex may amend the fee schedule. Where a fee increases, notice is given before the change takes effect.

7. Deposits and withdrawals

Deposits must be made from an account or wallet controlled by you. Deposits from third parties are returned to source.

Deposits are made to the reserve address recorded against your account and must quote the deposit reference issued to you. A transfer sent on an unsupported network or without the required reference may be unrecoverable.

Withdrawals are paid from a separate float address after a security review. A withdrawal destination must be added to your allow list and a new destination is held for twenty four hours before a withdrawal to it can be released.

Jadenex may delay or refuse a withdrawal where it is required to do so by law, where a screening result requires review, or where there are reasonable grounds to suspect fraud or unauthorised access.

8. Client assets

Client digital assets and client money are recorded and held separately from the assets of the company and are reconciled against custody holdings each business day.

A balance recorded to your account is an entitlement against Jadenex in respect of the asset recorded. Jadenex does not lend, pledge, rehypothecate or otherwise use client assets for its own account.

9. Prohibited conduct

You must not use the service to do any of the following.

  • Engage in market manipulation, including wash trading, spoofing, layering, momentum ignition, or the entry of orders without a genuine intention to trade.
  • Trade on the basis of information obtained in breach of a duty of confidence.
  • Launder the proceeds of crime, finance terrorism, evade sanctions or facilitate any of these.
  • Access the service by automated means in a manner that degrades the service or circumvents a rate limit.
  • Provide false information, impersonate another person or open an account for the benefit of an undisclosed third party.
  • Attempt to gain unauthorised access to any system, account or data.

10. Suspension and closure

Jadenex may suspend access to an account, restrict a function of an account or close an account where the account holder breaches these terms, where a legal or regulatory obligation requires it, or where continued service would expose Jadenex or other account holders to unacceptable risk.

Where an account is closed other than for a breach, balances are returned to the account holder after deduction of any amount properly due. Where a balance cannot be returned because a legal restriction applies, the balance is held until the restriction is lifted.

You may close your account at any time by withdrawing your balances and submitting a closure request from your registered email address.

11. Liability

Nothing in these terms excludes or limits liability for fraud, for fraudulent misrepresentation, or for any liability that cannot lawfully be excluded or limited.

Subject to the paragraph above, Jadenex is not liable for loss of profit, loss of opportunity, loss arising from price movement, or indirect or consequential loss.

Jadenex is not liable for a failure or delay caused by an event beyond its reasonable control, including a failure of a public network, a failure of a third party custodian or payment provider, or a governmental act.

12. Intellectual property

The Jadenex name, the Jadenex marks, the website, the mobile application and all content made available through them belong to Jadenex or to its licensors. You are granted a limited, revocable, non exclusive licence to use them for the purpose of using the service and for no other purpose.

13. Changes to these terms

Jadenex may amend these terms. Where an amendment is material, notice is given before it takes effect. Continued use of the service after the effective date constitutes acceptance of the amended terms. If you do not accept an amendment you may close your account before the effective date.

14. Governing law and disputes

These terms and any dispute arising out of them are governed by the law of the jurisdiction in which Jadenex is established, and the courts of that jurisdiction have exclusive jurisdiction, without prejudice to any mandatory right you have to bring proceedings in the courts of your own place of residence.

Before commencing proceedings you are asked to raise the matter through the complaints procedure so that it can be resolved directly.
